Terms and Conditions for an Individual’s Subscription Membership
Introduction
Socially Smidge is a program that allows consumers who appreciate our fine wines to benefit from a special relationship program that provides regular deliveries (as selected by you) from our superb range of crafted wines, plus exclusive offers and access to special events and promotions. Individual membership is only available to individuals aged 18 years or older and is not available for corporate customers. Corporate entities wishing to avail themselves of the special benefits we offer should contact us directly for details on our special corporate memberships.
Please note that while a member may reside in the Northern Territory, due to government legislation, at present we cannot deliver alcohol to any address in the Northern Territory, however we can deliver for you to a suitable address in other parts of Australia.
Terms & Conditions
Subscription membership of Socially Smidge (herein the ‘Membership’) is subject to the terms and conditions of subscription as noted in this document (herein the ‘Terms’).
Socially Smidge is owned and operated by Smidge Wines Pty Ltd ATF the Smidge Trust ABN 57 706 121 485) and its successors and assigns (herein ‘Smidge’, ‘we’, ‘us’, our’) and ‘Website’ means the website smidgewines.com and any associated pages thereof. ‘Member’ ‘you’ and ‘your’ means any person or entity purchasing or attempting to purchase or who is gifted or otherwise acquires the rights to a Membership.
Membership
Memberships are for a period of 1 year from the date of acceptance of your Membership by us and for 1 year following any Renewals (herein the ‘Term’).
The person nominated as the Member may be changed so as that a newly nominated person then becomes the Member for the remainder of the Term and the (then) prior member relinquishes access to any benefits of Membership. This can easily be done by contacting us at social@smidgewines.com. Membership benefits are for the person nominated as the Member only and are not transferrable.
Memberships can be gifted, however due to various legislated requirements the recipient of a Gifted Membership will be required to agree to these Conditions prior to the first delivery of any wine.
Excluding Gifted memberships, at the end of each period of Membership, we will automatically renew your Membership for another year. We will remind you of this before the expiry of your Membership year and you can notify us at any time that you do not want such renewal to happen by contacting us at social@smidgewines.com. Unless you notify us otherwise, in the week prior to the expiry of each Membership year, you authorise us to collect the Fee (as notified to you in our renewal reminder and displayed on our Website) from the card registered with your Membership and you authorise to maintain these details within our system.
Any deliveries will be made to the address we have on record for you and it's your responsibility to ensure that the contact details we hold for you (address, phone and email address) are current.
Fees
Fees for the various types of Memberships (herein the ‘Fees’) will be noted on our Website and any Membership renewal will be at the Fee applicable as at the commencement date of the renewal period.
The credit or debit card that you used to pay for your Membership will be charged for future purchases from us and Membership renewals, should you wish this to not happen please let us know at the time of joining and we will then request new payment details from you each time you make a purchase.
Benefits
Benefits for the various types of Memberships (herein the ‘Benefits’) will be noted on our Website and any Membership renewal will include the Benefits as may be applicable as at the commencement date of the renewal period.
Differing Benefits may apply to Differing types of Membership.
Membership discounts or other Benefits that may apply to a purchase from us made by a Member will apply whether the purchase is for the Member or is gifted or made available to another person. This enables Members to provide gifts to others at the special Member’s rates. Please note the Conditions of Sale as noted on our Website as they apply to all purchases (including Memberships and gifts) that you may make from us.
Benefits cease with any termination, any unclaimed or unused Benefits will cease to be available to you after your membership terminates, please ensure you take advantage of any outstanding Benefits prior to termination. If you are unsure, please contact us.
We reserve the right to amend, remove or add Benefits during your Membership, however where any such amendment or removal directly affects you, we will contact you to discuss your options.
Termination
Your Membership may be terminated by any of the following methods:
1. You notify us that you wish not to renew your Membership, in which case the Membership ceases upon the expiration of the then existing Membership year.
2. You may terminate your Membership at any time by notifying us in writing. Note that such termination may not result in any refund or credit of any Fees paid but will result in the cancellation of all Benefits and deliveries as from the time of termination. Contact us should you wish to terminate so we may discuss alternatives with you.
3. We do not receive payment from you in respect of your Membership.
4. You are not eligible for membership under our then terms and conditions of membership.
5. You do anything which is in breach of these Conditions.
6. You do anything which is harmful to our interests.
7. We decide to not automatically renew your Membership, in which case we will contact you to discuss options.
8. We cease offering memberships, in which case a pro-rata refund of Fees will be made by us, calculated from the date of termination to the end of your Membership year.
General
These Terms together with our Website Terms and Conditions, Terms and Conditions of Sale and any other documents noted herein form the entire agreement between you and us and may not be amended without our prior written approval.
Use of personal data is governed by our Privacy Policy and any requirements of Membership as listed herein.
If any of these Terms are found to be illegal, invalid or unenforceable by any court of competent jurisdiction, that part is taken to be deleted from the Terms and will not affect enforceability of the remaining provisions.
The failure or neglect by us to enforce any of our rights under these Terms shall not be deemed to be a waiver of those rights.
We may freely transfer or assign any portion of our rights or delegate our obligations under these Terms. You are not entitled to transfer or assign, by operation of law or otherwise, any portion of your rights or delegate your obligations under these Terms without our prior written consent.
These Terms are governed by and construed in accordance with the laws of the State of South Australia, Australia and all parties submit to the non-exclusive jurisdiction of the Courts of South Australia, Australia.
